Acceptance of Terms

By accessing or using UGCBloom (operated by AiDevLimited), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

These terms apply to all users of the platform, including brands, creators, and any other visitors.

Description of Service

UGCBloom is a managed user-generated content (UGC) marketplace that connects brands with vetted creators to produce short-form video content at scale. Brands create campaigns with a brief and budget; creators apply, produce content, and are paid based on performance and approval.

UGCBloom acts as an intermediary - facilitating campaign management, content review, and payment processing - but is not a party to the creative agreement between brands and creators beyond what is described here.

Account Registration & Eligibility

To use UGCBloom you must be at least 18 years old and capable of entering into a legally binding agreement. By registering, you represent and warrant that all information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at xenia@ugcbloom.team if you suspect any unauthorised use.

UGCBloom reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.

Creator accounts are subject to a vetting and approval process before full platform access is granted. Creators must complete their profile - including linking a minimum of two social media accounts and providing accurate personal and geographic information - before their application will be reviewed. UGCBloom may, at its sole discretion, approve a creator for full access, approve them for sample campaigns only, place their account on hold, or reject their application entirely. Approval decisions are final and UGCBloom is not obligated to provide reasons for rejection.

If an approved creator makes material changes to their profile - including but not limited to social media links or country of residence - their account may be automatically placed back under review and full platform access temporarily suspended until re-approval is granted.

Creator Obligations

As a creator on UGCBloom, you agree to:
(a) only submit original content that you have the right to use and distribute;
(b) not infringe on any third-party intellectual property rights, including music, trademarks, or copyrighted material;
(c) accurately represent yourself and your audience;
(d) follow the campaign brief provided by the brand.

Content that is defamatory, obscene, deceptive, or otherwise unlawful is strictly prohibited and may result in immediate account termination and forfeiture of any pending earnings.

By participating in campaigns, you grant UGCBloom the right to repost and feature your submitted content on our own channels and marketing materials for platform promotional purposes. See our Creative Rights Policy for full details.

Video drafts must be submitted as hosted links from approved platforms only (currently Google Drive, Dropbox, and Vimeo). Direct file uploads and links from other hosting services are not accepted. UGCBloom may update the list of accepted platforms at any time without prior notice.

Creators are subject to submission limits - including a maximum number of pending (under-review) videos at any one time and a maximum number of approved videos per campaign. These limits are configured by UGCBloom and/or the brand running the campaign and may vary. Attempting to exceed these limits will result in the submission being blocked.

Brands may, at their discretion, block individual creators from submitting further videos to a specific campaign. UGCBloom is not required to provide a reason for such blocks, and blocked creators have no right of appeal against campaign-level restrictions imposed by brands.

The video a creator posts live must be substantially identical to the video that was approved by the brand and/or UGCBloom during the review process. Posting a video that differs materially from the approved version — including but not limited to re-editing, substituting footage, altering audio, adding or removing segments, or replacing the video entirely — constitutes a breach of these Terms. Any payout associated with a swapped or materially altered video will be withheld or, if already paid, may be recovered by UGCBloom. Repeated or egregious violations may result in immediate account termination and forfeiture of all pending earnings.

Brand Obligations

As a brand on UGCBloom, you agree to:
(a) provide accurate and complete campaign briefs;
(b) review and approve or reject submitted content in a timely manner;
(c) use approved content only for the purposes outlined in the campaign agreement.

Brands may use approved creator videos for organic social media posting and paid advertising campaigns as a standard part of the collaboration. Extended, exclusive, or whitelisting rights must be negotiated separately with the creator.

Brands must not request content that is misleading, illegal, or in violation of any platform's advertising policies.

Brands may include additional terms, conditions, or requirements within their campaign briefs that go beyond what is set out in these Terms. Where a campaign brief contains terms that conflict with or supplement these Terms, the campaign brief shall take precedence with respect to that specific campaign only. UGCBloom is not responsible for reviewing, enforcing, or mediating any additional terms imposed by a brand within a campaign brief, and creators participate in such campaigns at their own discretion.

Payments & Fees

All payments are processed securely through Stripe or ACH bank transfer. By using the platform, you agree to Stripe's Terms of Service where applicable. UGCBloom collects a service fee as described at the point of purchase.

Although campaign payout rates are advertised per approved video, approval alone does not trigger a payout. Creator payouts are initiated by AiDevLimited only after an approved video has been posted live and confirmed as such on the platform. The creator must submit their live video link(s) and mark the video as live within UGCBloom before a payout is processed. UGCBloom is not responsible for delays caused by third-party payment processors or incorrect banking details provided by the user.

All fees are non-refundable except where required by law or explicitly stated otherwise by UGCBloom in writing.

Brands may adjust campaign budgets and per-creator payout rates at any time while a campaign is active. Payout rates are locked in at the time a creator submits their content - any videos already submitted before a rate change will be paid at the rate that was in effect when they were submitted. Videos submitted after the change will be subject to the updated rate. UGCBloom is not obligated to notify creators of rate changes in advance, though we endeavour to do so where practicable.

Campaigns may end at any time - including when the campaign budget is exhausted, when the brand or UGCBloom decides to close the campaign, or when a campaign deadline is reached. When a campaign ends, no further payouts will be issued for videos that have not yet been posted live, regardless of approval status. Creators are only entitled to payment for videos that were fully approved and posted live before the campaign ended. Pending submissions and approved-but-not-posted videos do not create an obligation to pay.

Creator withdrawals are subject to a minimum withdrawal amount, which is displayed on the platform at the time of withdrawal. Creators may not withdraw funds below this threshold. UGCBloom reserves the right to adjust the minimum withdrawal amount at any time.

Brands may fund campaigns via bank transfer or credit/debit card. A processing fee may apply depending on the payment method used; the applicable fee will be displayed at the time of payment. Processing fee rates are set by UGCBloom and may be adjusted at any time to reflect changes in third-party banking and payment processing costs.

When a campaign ends with unused budget remaining, the unspent funds remain in the brand's UGCBloom wallet and may be applied to future campaigns. Unused campaign budget is not automatically refunded.

Campaign Lifecycle & Ending

Campaigns on UGCBloom are subject to change and may end at any time without prior notice. Common reasons a campaign may end include, but are not limited to: exhaustion of the campaign budget, the brand choosing to close the campaign, a scheduled end date being reached, or UGCBloom terminating the campaign for policy or operational reasons.

UGCBloom is under no obligation to notify creators in advance when a campaign is about to end or has ended. It is the creator's responsibility to monitor the status of campaigns they are participating in through the UGCBloom platform. Campaign status - including whether a campaign is active or ended - is visible on the campaign page at all times.

Upon a campaign ending:
(a) no new video submissions will be accepted;
(b) videos that have been submitted but not yet reviewed may not be reviewed or paid;
(c) videos that have been approved but not yet posted live will not be eligible for payout;
(d) only videos that were approved and confirmed as posted live before the campaign ended are eligible for payment.

Referral Programme

UGCBloom may offer a referral programme that allows approved creators to earn a payout for referring new creators to the platform. Referral payouts, eligibility criteria (including any minimum number of approved videos the referred creator must achieve), and programme rules are displayed on the platform and may be changed or updated by UGCBloom at any time without prior notice.

Referral payouts are not guaranteed. UGCBloom reserves the right to modify, suspend, or discontinue the referral programme entirely at its sole discretion. Referrals obtained through fraudulent means, including self-referrals, fake accounts, or incentivised sign-ups that do not result in genuine platform participation, will be disqualified and may result in account suspension.

Content & Intellectual Property

Creators retain ownership of the videos they produce. Brands are granted usage rights as described in our Creative Rights Policy. UGCBloom retains no ownership of creator content beyond the promotional licence described above.

UGCBloom's name, logo, wordmark, and all associated branding are the exclusive property of AiDevLimited. You may not use our branding without prior written consent. View the full Creative Rights Policy for details on content ownership.

Confidentiality

Brands and creators may exchange confidential information through the platform, including but not limited to campaign briefs, budgets, pricing, creative strategy, and unreleased product details. You agree to keep all such information strictly confidential and not disclose it to any third party without the prior written consent of the disclosing party.

This obligation of confidentiality survives the termination of your account and continues for a period of two (2) years after the information was received.

Non-Solicitation & Non-Circumvention

For a period of twelve (12) months following your last interaction with a brand or creator discovered through UGCBloom, you agree not to solicit, engage, or contract with that party outside the platform for services substantially similar to those offered on UGCBloom, for the purpose of avoiding platform fees.

This applies to both brands and creators. If UGCBloom reasonably determines that circumvention has occurred, it reserves the right to invoice the circumventing party for the fees that would have been payable and to suspend or terminate the offending account.

Prohibited Conduct

You must not:
(a) use the platform to spam, harass, or harm other users;
(b) attempt to reverse-engineer, scrape, or copy any part of the platform;
(c) circumvent UGCBloom to directly contact creators or brands discovered through the platform for the purpose of avoiding fees;
(d) use automated tools to access the platform without express written permission;
(e) impersonate any person or entity.

Creators are strictly prohibited from using virtual private networks (VPNs), proxy servers, or any other tools or methods to alter, mask, or misrepresent their geographic location for the purpose of accessing or participating in campaigns designated for specific countries or regions. UGCBloom reserves the right to verify user locations, and any detected use of location manipulation tools may result in immediate suspension from active campaigns, forfeiture of pending earnings, and permanent restriction from the platform.

Artificially inflating or fabricating performance metrics - including but not limited to views, clicks, engagements, or any other campaign statistics - through the use of bots, crawlers, click farms, artificial intelligence tools, purchased traffic, or any other fraudulent or deceptive means is strictly prohibited. Any creator found to have engaged in such activity will have all pending and future payments withheld and will be permanently banned from the platform. UGCBloom reserves the right to pursue recovery of any payments already made in connection with fraudulently inflated metrics.

Violation of these prohibitions may result in immediate account suspension and legal action.

Content Moderation & Removal

UGCBloom reserves the right to review, reject, or remove any content submitted through the platform at its sole discretion, including content that violates these Terms, applicable laws, or the campaign brief provided by the brand.

Content decisions made by UGCBloom are final and there is no formal appeals process. While we endeavour to provide reasoning for content removal or account actions, we are not obligated to do so. Repeated submission of content that violates platform guidelines may result in account suspension or termination.

UGCBloom reserves the right to take any action it deems necessary to maintain the integrity of the platform, including but not limited to: manually adjusting payout amounts, crediting or debiting creator wallet balances, approving or rejecting withdrawals, ending or modifying campaigns, and overriding brand or creator decisions. These actions may be taken without prior notice where UGCBloom reasonably believes they are necessary to prevent fraud, correct errors, or enforce these Terms.

Independent Contractor & Tax Responsibility

Creators on UGCBloom are independent contractors, not employees, agents, or partners of AiDevLimited or any brand on the platform. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.

Creators are solely responsible for reporting and paying all applicable taxes - including income tax, self-employment tax, VAT, or any other tax - arising from payments received through UGCBloom. UGCBloom does not withhold taxes on creator payouts and will not provide tax advice. Creators are responsible for obtaining their own professional tax guidance.

Where required by law, UGCBloom may issue tax reporting forms (such as IRS Form 1099 for US-based creators) and may request tax identification information from creators as a condition of receiving payouts.

Indemnification

You agree to indemnify, defend, and hold harmless AiDevLimited, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
(a) your use of the platform;
(b) your breach of these Terms;
(c) any content you submit, post, or transmit through the platform;
(d) your violation of any third-party rights, including intellectual property or privacy rights; or (e) any fraudulent, negligent, or wrongful act or omission by you.

This indemnification obligation survives the termination of your account and these Terms.

Privacy & Data Protection

By using UGCBloom, you consent to the collection, processing, and storage of your personal data as described in our Privacy Policy. UGCBloom processes personal data in accordance with applicable data protection laws, including the Hong Kong Personal Data (Privacy) Ordinance.

If you are located in the European Economic Area (EEA), the United Kingdom, or any other jurisdiction with data protection laws, you acknowledge that your personal data may be transferred to and processed in jurisdictions that may not provide the same level of data protection as your home jurisdiction. By using the platform, you consent to such transfers.

UGCBloom implements reasonable technical and organisational measures to protect your personal data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

By linking your social media accounts to UGCBloom, you consent to UGCBloom using third-party data services to collect publicly available information about your social media profiles and content - including but not limited to follower counts, engagement metrics, video view counts, and other performance statistics. This data is used to verify creator profiles, track campaign performance, and ensure the integrity of the platform.

Termination

Either party may terminate their account at any time. UGCBloom may suspend or terminate your access immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination - including ownership, disclaimers, indemnity, and limitations of liability - shall survive.

Platform Availability

UGCBloom may experience downtime for scheduled maintenance, updates, or unforeseen technical issues. We will endeavour to provide advance notice of planned maintenance where practicable, but make no guarantee of uninterrupted service.

AiDevLimited shall not be liable for any loss, damage, or inconvenience caused by temporary or permanent unavailability of the platform, including loss of data, missed campaign deadlines, or delayed payouts resulting from platform downtime.

Disclaimers & Limitation of Liability

The platform is provided on an "as is" and "as available" basis without warranties of any kind. UGCBloom does not guarantee that the platform will be uninterrupted, error-free, or that results from its use will meet your expectations.

To the maximum extent permitted by law, AiDevLimited shall not be liable for any indirect, incidental, special, consequential, or punitive damages - including loss of profits, data, or goodwill - arising out of or in connection with your use of the platform.

Age-Restricted & Regulated Products

Campaigns promoting age-restricted or regulated products - including but not limited to alcohol, tobacco, gambling, pharmaceuticals, supplements, or financial services - must comply with all applicable advertising laws and platform policies in the target jurisdictions.

Creators participating in such campaigns are responsible for ensuring that their content complies with all relevant regulations, including age-gating, required disclaimers, and truthful representation of product benefits. UGCBloom reserves the right to reject or remove content that does not meet regulatory standards.

Brands are solely responsible for ensuring their campaign briefs comply with applicable advertising regulations for regulated products and must clearly disclose any regulatory requirements to creators within the brief.

Advertising Disclosure & Compliance

All content created through UGCBloom campaigns constitutes paid promotion. Creators are required to clearly and conspicuously disclose the commercial nature of their content by using appropriate labels such as #ad, #sponsored, or the equivalent disclosure mechanism provided by the publishing platform (e.g. Instagram's 'Paid Partnership' tag, TikTok's 'Branded Content' toggle).

Users are solely responsible for ensuring all content complies with applicable advertising and disclosure laws in their jurisdiction, including but not limited to the US Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials, the UK Advertising Standards Authority (ASA) CAP Code, and equivalent regulations in other territories.

UGCBloom does not pre-approve, monitor, or guarantee the legal compliance of any content posted by creators. The failure of a creator to properly disclose a paid partnership or the failure of a brand to ensure its campaign complies with advertising regulations constitutes a breach of these Terms.

Users agree to indemnify and hold harmless AiDevLimited from and against any regulatory fines, penalties, claims, or legal actions arising from a user's failure to comply with advertising disclosure requirements or other applicable advertising regulations.

Force Majeure

AiDevLimited shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.

In the event of a force majeure, affected obligations shall be suspended for the duration of the event. If the event continues for more than sixty (60) days, either party may terminate the affected agreement by providing written notice.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hong Kong SAR.

In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its then-current rules. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

Severability, Entire Agreement & Assignment

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy and Creative Rights Policy, constitute the entire agreement between you and AiDevLimited regarding your use of UGCBloom and supersede all prior agreements, representations, and understandings.

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of AiDevLimited. AiDevLimited may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

These Terms do not confer any rights on any person or entity that is not a party to these Terms. No third party shall have any right to enforce any provision of these Terms, whether under the Contracts (Rights of Third Parties) Ordinance (Cap. 623, Laws of Hong Kong) or otherwise. For the avoidance of doubt, a creator may not bring any claim against AiDevLimited arising from a brand's failure to pay or perform, and a brand may not bring any claim against AiDevLimited arising from a creator's failure to deliver or perform.

Changes to These Terms

UGCBloom reserves the right to update these Terms at any time. We will notify users of significant changes via email or a prominent notice on the platform. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
